1. Scope of Application
1.1 These Terms of Use (hereinafter "TOU") govern the use of the online platform operated at cleanify.ch, including associated portals and services (hereinafter "platform"). The operator is Creatify AG, Holenackerstrasse 25, 3027 Bern, registered in the commercial register of the Canton of Bern under CHE-331.002.835 (hereinafter "cleanify.ch" or "we").
1.2 By registering or using the platform, you agree to these TOU. If you object to any provision, use of the platform is not permitted.
1.3 The platform is aimed at two user groups: customers (natural or legal persons seeking cleaning services) and partners (cleaning companies offering their services through the platform). The General Terms and Conditions (GTC) additionally apply to partners.
1.4 Insofar as these TOU do not contain deviating provisions, the provisions of the Swiss Code of Obligations (CO) apply, in particular the rules on brokerage (Art. 412 et seq. CO).
2. Description of Services
2.1 cleanify.ch is a digital brokerage platform for cleaning services in Switzerland. cleanify.ch exclusively provides brokerage services within the meaning of Art. 412 et seq. CO (indication and negotiation brokerage) and is not itself a provider of cleaning services.
2.2 The platform offers in particular:
- For customers: creation of cleaning requests, automatic and manual matching with regional cleaning companies, anonymous quote comparison, encrypted messaging system, and a moderated review system.
- For partners: access to qualified customer enquiries (leads), creation and submission of quotes, communication with potential customers, and professional CRM tools (customer database, orders, invoicing with QR payment slip, payment reconciliation, accounting).
3. Registration and Account
3.1 Account Creation and Authentication
Use of the platform services requires registration. Authentication is performed via a time-limited one-time code sent by e-mail (passwordless login). No passwords are stored. The user is responsible for the security of the e-mail account used.
3.2 Legal Capacity
By registering, the user confirms that they have legal capacity within the meaning of Art. 12 et seq. CC and that, if acting on behalf of a company, they have the required authority to represent it (Art. 32 et seq. CO).
3.3 Accuracy of Information
Users are obligated to provide truthful and complete information (name, e-mail, telephone number; for business customers additionally company name, UID number pursuant to Art. 3 UIDG, and business address) and to keep them up to date at all times. False information may lead to immediate account suspension and gives rise to damage claims (Art. 41 CO).
3.4 Account Types
During registration, customers choose between a private account (natural person) and a business account (legal entity or sole proprietorship). Business accounts enable the creation of an organisation with multiple users.
3.5 Organisations and Role Model
For business accounts, the administrator can add additional team members by e-mail invitation and assign them one of the following roles:
- Administrator: full access including user management, organisation settings, and quote acceptance.
- Manager: creation and management of requests, acceptance and rejection of quotes, access to all organisation requests.
- Member: creation of own requests and communication within own requests.
- Viewer: read-only access to all requests and quotes, without decision-making authority.
The administrator bears responsibility vis-a-vis cleanify.ch for the actions of all members of their organisation (Art. 55 para. 2 CC by analogy). The internal role distribution has no effect vis-a-vis third parties.
4. Cleaning Requests and Matching
4.1 Creating a Request
Customers can create cleaning requests by providing information on the desired type of cleaning, location (canton, address, postal code), area (m²), preferred date, and any special requirements. A request does not constitute a binding offer within the meaning of Art. 3 CO, but merely an invitation to submit a quote (invitatio ad offerendum).
4.2 Matching Procedure
Customers choose between two brokerage modes:
- Cleanify Match (automatic): the system selects suitable partners based on canton and service category and invites them to submit a quote.
- Manual selection: the customer browses the company directory and independently invites partners.
4.3 No Guarantee of Success
cleanify.ch owes diligent brokerage (Art. 412 para. 1 CO) but guarantees neither the receipt of quotes nor the conclusion of a cleaning contract. Partner participation in the quoting process is voluntary. There is no entitlement to a particular number of quotes.
5. Anonymity and Data Disclosure
5.1 Principle of the Anonymous Quoting Phase
Throughout the entire quoting and negotiation phase, the customer's personal data (name, e-mail, telephone, address) are not disclosed to the invited cleaning companies. Companies receive only factual information about the request (type of cleaning, canton, area, preferred date, and any additional information).
5.2 Disclosure upon Contract Award
The customer's contact details are transmitted exclusively to the cleaning company whose quote the customer accepts. Disclosure occurs automatically and without delay after acceptance by e-mail to both parties. All other companies receive only a notification of non-award, without customer data. Data processing is carried out in accordance with Art. 6 FADP (purpose limitation principle).
5.3 Platform Communication
Communication between customers and companies takes place exclusively via the platform's integrated messaging system until contract award. The direct exchange of contact details before contract award is prohibited (see section 9.2, circumvention prohibition).
6. Quotes and Contract Conclusion
6.1 Submission of Quotes by Partners
Invited partners may submit a quote to the customer including the total price (CHF), validity period, detailed breakdown of services, and a personal message. The quote constitutes a binding offer within the meaning of Art. 3 CO that may be accepted during the stated validity period. Partners may save quotes as drafts; a draft has no binding effect.
6.2 Quote Acceptance and Contract Conclusion
The customer may accept exactly one quote per request. Upon acceptance, the cleaning contract between the customer and the partner is deemed concluded (Art. 1 CO). All other quotes for the same request are automatically rejected (Art. 5 para. 1 CO: lapse of late or otherwise superseded proposals). Acceptance is binding; mandatory statutory rights of withdrawal are reserved.
6.3 Position of cleanify.ch
cleanify.ch is not a party to the cleaning contract concluded between the customer and the partner. cleanify.ch acts exclusively as a broker within the meaning of Art. 412 et seq. CO. Claims arising from the cleaning contract – in particular warranty (Art. 368 CO), damages (Art. 97 CO), and default (Art. 102 et seq. CO) – must be directed exclusively against the respective contractual party.
7. Messaging System
7.1 The platform provides an integrated messaging system. A separate conversation thread exists for each request and partner.
7.2 The chat becomes read-only once the relevant partner's quote is rejected or another partner is awarded the contract. Previous messages remain viewable.
7.3 The messaging system may only be used to clarify questions related to the cleaning request. In particular, the following are prohibited: advertising, spam, brokering third-party services, and any form of circumvention of the anonymity rules.
7.4 Messages are stored on cleanify.ch's servers and processed in accordance with the privacy policy (Art. 6 FADP). cleanify.ch is not obligated to restore deleted messages.
8. Reviews
8.1 Submission and Content
Customers may review cleaning companies after the service has been rendered. Reviews comprise four categories: work quality, administration, value for money, and customer friendliness. Additionally, a free-text comment may be written.
8.2 Moderation
All reviews are editorially reviewed before publication. cleanify.ch is entitled to reject or remove reviews that:
- are untrue, insulting, discriminatory, or defamatory (Art. 28 CC; Art. 173 et seq. SCC)
- violate unfair competition law, in particular constitute misleading statements within the meaning of Art. 3 para. 1 let. a UCA
- infringe the personal rights of third parties (Art. 28 et seq. CC)
- are identifiable as fake reviews or have no connection to the service actually rendered
8.3 Google Reviews (Third-Party Content)
cleanify.ch imports publicly available reviews from Google (Google Maps / Google Business Profile) and displays them on company profiles. These reviews are marked as third-party content and are neither editorially reviewed nor altered by cleanify.ch.
cleanify.ch assumes no liability for the accuracy, completeness, or currency of reviews originating from Google. Display is for informational purposes only. The respective author or Google as platform operator is solely responsible for the content of these reviews. Complaints regarding Google reviews must be addressed directly to Google.
8.4 Liability for Review Content
The author is personally liable for the content of their reviews published on cleanify.ch (Art. 41 CO; Art. 28 CC). cleanify.ch, as a hosting provider, assumes no liability for user-generated content and, as an aggregator, no liability for content imported from third-party platforms, but acts promptly upon becoming aware of unlawful content (notice-and-takedown principle).
9. User Obligations and Circumvention Prohibition
9.1 General Duty of Care
All users of the platform undertake to:
- not use the platform in an abusive or unlawful manner
- not provide false, misleading, or incomplete information (duty of truthfulness; Art. 3 UCA)
- not publish unlawful or offensive content
- respect the rights of third parties – in particular copyrights (Art. 10 CopA), trademark rights (Art. 13 TmPA), and personal rights (Art. 28 CC)
- not use automated systems (bots, scrapers, crawlers) for data collection or manipulation
- treat account access confidentially and report any unauthorised access to cleanify.ch immediately
9.2 Circumvention Prohibition
Both parties (customers and partners) are prohibited from circumventing the platform – in particular by exchanging direct contact details via the messaging system before contract award or by contacting each other outside the platform based on information obtained through it. Violations entitle cleanify.ch to immediate account suspension and to assert a contractual penalty pursuant to the GTC (Art. 160 et seq. CO).
10. Liability and Disclaimer
10.1 Intermediary Role
cleanify.ch acts exclusively as an intermediary (Art. 412 et seq. CO). Liability for the quality, reliability, timely performance, or availability of the brokered cleaning services is excluded. Defect claims (Art. 368 CO) and damage claims (Art. 97 CO) must be directed exclusively against the respective cleaning company.
10.2 Platform Availability
cleanify.ch endeavours to maintain uninterrupted operation but excludes any guarantee of availability at all times. Temporary restrictions due to maintenance, technical failures, or force majeure (Art. 119 CO) do not give rise to damage claims.
10.3 Limitation of Liability
The liability of cleanify.ch for contractual (Art. 97 et seq. CO) and extra-contractual (Art. 41 et seq. CO) claims is excluded to the extent permitted by law. In particular, cleanify.ch is not liable for indirect damages, consequential damages, loss of profit, or data loss. Mandatory liability for wilful misconduct and gross negligence is reserved (Art. 100 para. 1 CO). In cases of slight negligence, liability is limited to the amount paid by the user to cleanify.ch in the preceding 12 months.
11. Intellectual Property
11.1 All content on the platform – including texts, graphics, logos, trademarks, software, databases, and design – is protected by copyright (Art. 2 CopA) and is the property of Creatify AG or the respective rights holders.
11.2 Any reproduction, distribution, making available to the public, or other exploitation – even in part – requires the prior written consent of Creatify AG (Art. 10 CopA). Legally permitted private use is reserved (Art. 19 CopA).
12. Suspension and Termination
12.1 Ordinary Termination by the User
The user agreement may be terminated by the user at any time by deleting their account (Art. 404 para. 1 CO by analogy). For business accounts, the administrator must dissolve the organisation or transfer administration before their account can be deleted.
12.2 Suspension and Immediate Termination by cleanify.ch
cleanify.ch is entitled to suspend or terminate a user account in whole or in part with immediate effect in the event of violations of these TOU (Art. 404 para. 1 CO by analogy) – in particular in the event of:
- misuse of the messaging system or spam
- fake reviews or manipulation of the review system
- violation of the circumvention prohibition (section 9.2)
- fraudulent or unlawful conduct
- provision of false identity or company data
12.3 Consequences of Termination
Open requests are archived upon account deletion. Claims arising from cleaning contracts already concluded (between customer and partner) remain unaffected by the termination of the user agreement with cleanify.ch. Any fee claims of cleanify.ch against partners remain in force.
13. Amendments to the Terms of Use
13.1 cleanify.ch reserves the right to amend these TOU at any time. Registered users will be notified by e-mail of material amendments at least 14 days before they take effect.
13.2 If the user objects to the amendments within the notification period, they have an extraordinary right of termination as of the effective date. Continued use of the platform after the effective date constitutes acceptance of the amended TOU.
14. Severability Clause
Should individual provisions of these TOU be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by the valid provision that most closely reflects the economic purpose of the invalid provision.
15. Applicable Law and Jurisdiction
15.1 Swiss substantive law applies exclusively, excluding the conflict-of-law rules of the PILA and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
15.2 The exclusive place of jurisdiction for all disputes arising from or in connection with these TOU is Bern, Switzerland. Mandatory statutory places of jurisdiction are reserved, in particular the domicile jurisdiction for consumer contracts (Art. 32 CPC).
